Introduction

Pacei, (“pacei,” “we,” “our,” “us”) offers a variety of team productivity, collaboration, and organizational tools, as further described in the Pacei Guide and websites, including but not limited to www(dot)pacei(dot)com, www(dot)kicrow(dot)com.

These User Terms of Service (“Terms”) are a binding legal contract between you and Pacei and explain the rules governing your use of our Service and Websites. By accessing or using the Service and Websites, you acknowledge and agree to be bound by these Terms (as applicable) and confirm you have read and understand our Privacy Statement, which is incorporated by reference.

If you do not agree to these Terms, please do not access or use the Service or Websites.

We may revise these Terms from time to time by posting a modified version on our website. If, in Pacei's sole discretion, the modifications to these Terms are material, we will provide you with reasonable notice prior to the change taking effect, either by emailing the email address associated with your account or by alerting you through the Service and/or Websites. Unless otherwise stated elsewhere in these Terms or in our notice, the updated Terms will take effect upon their posting and will apply on a going-forward basis. Your continued use of the Service and Websites after any update to these Terms constitutes your acceptance of such changes.

User Accounts

Eligibility: To use the Service and Websites you must be, and you represent and warrant that you are, at least 16 years of age and competent to agree to these Terms. If the law where you reside requires that you must be older in order for Pacei to lawfully provide the Service and Websites to you and use your personal data without parental consent, then you must be that older age.
Account Security: You are responsible for maintaining the security of your account and agree to notify us immediately if you suspect any unauthorized access.

Access Permissions and Hierarchical Control

Hierarchical Access: If you are part of an organizational structure (such as under an employer, manager, or other designated authority within an organization) using the Service, you acknowledge and agree that authorized personnel within that hierarchy may have access to certain aspects of your User Content, data, and account activity as permitted by the Service's settings.
Scope of Access: Individuals or entities with administrative permissions in your hierarchy (such as managers or organizational administrators) may access, view, modify, or control User Content and data you have submitted or created within the Service, subject to the permissions and limitations set by our system.

Liability Disclaimer: The Company is not liable for any actions taken by organizational administrators or managers who have been granted hierarchical access to your data. Any disputes regarding data access within an organization must be resolved between the relevant parties in that hierarchy.

Subscription and Payment

Subscription Plans: We offer various subscription plans, including free and premium options. Details of our pricing and payment structure are provided on our pricing page.
Billing and Payment: If you select a paid plan, you authorize us to charge your payment method on a recurring basis as per your subscription terms.
Refund Policy: We offer refunds solely at our discretion. Please contact support for any concerns regarding your subscription.
Payment Obligation: Once upgraded, the payment for the selected services will be due and payable as specified. If payment is not received, access to the upgraded services will be revoked until payment is made.
Pack/subscription downgrade: Once downgraded, all the restrictions and features will be automatically applied as per the current subscribed pack. Any feature/service which is not part of current pack its access to the previously upgraded services will be revoked and respective data will not be provided in any form. Once re-upgraded all the features/services will be subjected to respective pack/subscription.

License and Usage

License Grant: We grant you a limited, non-exclusive, non-transferable license to use our Service in accordance with these Terms.
Restrictions: You agree not to:

Reverse-engineer, decompile, or disassemble the Service.
Resell, redistribute, or sublicense the Service.
Use the Service for any unlawful or unauthorized purpose.

User Content

Ownership: You retain ownership of any data, files, or content you upload to the Service("User Content").
Rights Granted: By using our Service, you grant us a worldwide, non-exclusive license to store, process, and display your User Content for various purposes such as but not limited to training our AI modal, improving our service by analyzing your data, and so on.
Prohibited Content: You may not post, upload, transmit, or otherwise make available any User Content on the Service or Websites that:

Is deceptive, fraudulent, illegal, obscene, defamatory, disparaging, libelous, threatening, or pornographic (including any form of child pornography, which, upon discovery, will be removed and reported to appropriate law enforcement authorities, including the National Center for Missing and Exploited Children);
Misrepresents AI-generated content, information, or outputs as being human-generated;
Criticizes, disparages, or harasses others based on race, ethnicity, national origin, religion, sex, gender, sexual orientation, disability, or medical condition;
Contains personal information of minors under the age of 16;
Contains sensitive personal information as defined by applicable law (including but not limited to financial information, payment card numbers, social security numbers, or health information) unless expressly permitted through a written Customer Agreement with Pacei;
Includes viruses, bots, worms, or any other harmful or disruptive software code or materials;
Contains any information that you are not legally entitled to disclose, whether due to legal restrictions or fiduciary or contractual obligations; or
Could otherwise harm or damage Pacei, our users, or any third party.

Responsibility and Monitoring: You are solely responsible for the User Content you share through the Service. While we may, at our discretion, monitor or review User Content, we are not obligated to do so and assume no responsibility for content posted by users. We reserve the right to remove or restrict access to any User Content that violates these Terms or is otherwise objectionable, at our sole discretion.

Limitation of Liability for Third-Party Services

Third-Party Integrations: Pacei may offer integrations or access to third-party services, including but not limited to plugins, APIs, and other software. While we strive to ensure compatibility and a seamless experience, Pacei makes no representations or warranties regarding the functionality, security, or reliability of these third-party services.
User Responsibility: You acknowledge that any access to or use of third-party services through Pacei is at your own risk. You are responsible for reviewing and complying with the terms of service, privacy policies, and other requirements set forth by each third-party service.
No Liability: To the fullest extent permitted by law, Pacei shall not be liable for any damages, losses, or issues arising from or related to the use of third-party services, including but not limited to service interruptions, security vulnerabilities, or data breaches caused by third-party services.

This includes, but is not limited to, automated data entry, task management, or user interactions within the Service.
Compliance with Intended Use: The Service is intended for direct human use. Any form of automation that circumvents the intended user experience or disrupts normal operation is strictly prohibited and may result in suspension or termination of your account.

Initiating a lawsuit will only be considered after both parties have made reasonable efforts to settle the matter through informal resolution.
